ARTICLE I – NAME
The name of this organization shall be the New York State Council of Deans of Baccalaureate and Higher Degree Nursing Programs (herein known as the Council).
ARTICLE II – OBJECT
The purposes of this Council are as follows:
To identify issues, share ideas and experiences, and discuss matters which affect baccalaureate and higher degree programs.
To collect and analyze pertinent information as a basis for decision making on issues and ideas related to higher education.
To plan and implement programs of collaborative action which reflect responsible leadership for nursing education in New York State.
ARTICLE III – MEMBERS
Full members of the Council shall be the administrators of regionally accredited and state approved programs of nursing in New York state offering baccalaureate and/or higher degrees. In the event that a member of the Council is unable to attend a Council meeting, the member may send one individual from that program to be the temporary official and only delegate. This delegate shall have full voting privileges.
The fiscal year of the Council shall be July 1st to June 30th, and dues shall be paid by October 1st. Each educational unit shall pay dues as determined at the Spring meeting.
ARTICLE IV – OFFICERS
The officers of this Council shall be a President, President-Elect, Recording Secretary, and Treasurer.
The immediate past president of the organization shall serve as an ex-officio member ofthe Executive Board for 2 years to provide perspectives on the organization’s recentactivities and assure a smooth transition in leadership.
The President-Elect shall be elected by the membership at the annual meeting in the even years; the Recording Secretary and Treasurer shall be elected in the odd years. The terms of the office shall begin at the close of the annual meeting at which the officers are declared elected, and extended for two years or until their successors are elected.
No officer shall be eligible for more than two consecutive terms in the same office.
Each Officer of this Council shall performs the duties prescribed for the office in the parliamentary authority adopted by this Council.
ARTICLE V – DUTIES OF OFFICERS
The President shall convene and chair membership meeting of the organization, including setting of the agenda, appointing ad hoc committees and task forces; serve or appoint designee as liaison to the New York State Associate Degree Council; and acting as the official spokesperson for the organization with multiple constituencies.
The President-Elect shall work with the President to plan meetings of the organization; act as ex officio member of all ad hoc committees and task forces; assume the responsibilities of the President in the absence of the President; and facilitate electronic communication among the membership.
The Recording Secretary shall take, distribute, and archive minutes of all meetings of the organization; solicit and assemble school reports for distribution to membership; and maintain the membership list.
The Treasurer shall invoice and collect the annual dues; disburse funds for the organization; maintain financial records for the organization; and present a formal financial report at each membership meeting.
ARTICLE VI – EXECUTIVE COMMITTEE
The officers of the Council shall constitute the Executive Committee.
The Executive Committee shall have authority over the affairs of the Council during the interim between the meetings of the Council but shall not modify any action taken by the membership.
In the event of a vacancy in an officer position or in the membership of a standing or ad hoc committee, the President has the authority, in conjunction with the Executive Committee, to appoint a Council member to fulfill the vacated term of office.
Regular meetings of the Executive Committee shall be held before and after the annual meeting.
Special meetings of the Executive Committee may be called by the President.
The Executive Committee is authorized to adopt rules for the transaction of business, provided they do not conflict with these bylaws. A majority of the members of the Executive Committee shall constitute a quorum at meeting thereof.
ARTICLE VII – MEETINGS
There shall be at least two meetings of this Council each year in the Fall and Spring, the dates of which shall be determined by the Executive Committee. The Spring meeting shall be considered the annual meeting.
Special meetings may be called at any time by the Executive Committee, or upon the written request of one-half of the members.
Those members present shall constitute a quorum at any meeting of the Council.
ARTICLE VIII – STANDING COMMITTEES
The Nominating Committee shall consist of four members, two of whom shall be elective biannually by the membership of the Council for a two-year term on even years and two on odd years. The members shall be responsible for preparing the slate. The members of this committee shall designate the Chair.
A Bylaws Committee shall consist of four members, two of whom shall be elected biannually by the membership of the Council for a two-year term on even years and two on odd years. The members shall be responsible for reviewing the Bylaws of the organization on a regular basis or at the request of the majority of the membership of the Executive Committee. The members of the committee shall designate a Chair.
The Legislative Action Committee (LAC) is a standing committee who speak on behalf of the Council on legislative and regulatory matters that affect baccalaureate and higher degree programs in New York State. They are responsible for identifying legislative issues of importance to Council schools and their constituents; monitor legislation and help set specific legislative priorities; build relationships with and educate local, state and national officials, including the NYS Office of the Professions. The Council is the resource when regulators and policy makers are presented with nursing education and practice issues. The LAC shall consist of a minimum of 4 members, from diverse geographic regions across New York state (for example: Northern, Southern, Central, and Western). At least two of the members shall be elected biannually by membership of the Council for a two-year term on even years and two of whom shall be elected biannually by membership of the Council for a two-year term on odd years. The members shall be responsible for informing the membership on a regular basis of state and national health and nursing legislative activities. In addition, the committee shall be responsible for creating an annual legislative agenda. The members of this committee shall designate the Chair.
The President may appoint ad hoc committees and task forces as necessary to carry on the affairs of the Council. Appointments shall be for a one-year period.
ARTICLE IX – ELECTIONS
The Nominating Committee shall circulate the slate of candidates to organization members at least four weeks in advance of the annual membership meeting. Members of the organization may submit additional nominations to the Nominating Committee prior to the meeting. Nominations can be accepted from the floor, including self-nominations, at the Spring meeting prior to membership vote.
Elections of officers and the Standing Committees shall take place at the annual meeting. Officers and the Standing Committees shall be elected by a majority vote of the members.
Members of the Council who are unable to attend the annual meeting may nominate and vote by electronic mail according to procedures circulated by the Nominating Committee at least two weeks in advance of the meeting.
Tellers shall be appointed at the annual meeting to count the ballots.
In addition to the Treasurer, up to two additional signatories shall be appointed at the annual meeting. There is no time limit on the term of service for the account signatories except at the discretion of the president or treasurer.
ARTICLE X – PARLIAMENTARY AUTHORITY
The rule contained in “Roberts Rules of Order Newly Revised” shall govern the Council in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE XI – AMENDMENT TO THE BYLAWS
Amendments to the bylaws shall be circulated at least four weeks in advance of a meeting of the general membership.
These bylaws may be amended at any regular meeting of the Council by a two-thirds vote of the members present and voting.
